1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the INOUES website at https://inoues.com (the "Site") and the purchase of products offered through the Site. By accessing, browsing, or purchasing from the Site, you agree to these Terms. If you do not agree, please do not use the Site. These Terms are effective as of November 2, 2026 and may be updated from time to time as described below.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Site and to place orders. By using the Site you represent and warrant that you meet these requirements and have the legal capacity to enter into a binding agreement with us.

3. Use of the Website

You agree to use the Site lawfully and not to misuse, disrupt, or attempt to gain unauthorized access to any part of it, its systems, or its networks. You may not use the Site in any way that could damage, disable, overburden, or impair it, or interfere with any other party's use. Content is provided for personal, non-commercial use unless stated otherwise.

4. Product Information

We strive to present product information accurately. However, details such as ingredients, packaging, directions, and claims are subject to the information on the product packaging itself, which should be read before use. We reserve the right to limit quantities and to discontinue or modify products at any time.

5. Cosmetic-Use Positioning

INOUES products are topical cosmetics intended for external use only. They are not intended to diagnose, treat, cure, or prevent any disease or condition. Individual results may vary. If you have a skin condition, sensitivity, or concern, or if you are pregnant or nursing, consult an appropriate professional before use. Discontinue use if irritation occurs.

6. Orders

Placing an order constitutes an offer to purchase, which we may accept or decline at our discretion. We reserve the right to refuse or cancel any order, limit quantities, or restrict sales to certain customers or regions. If we are unable to fulfill an order, we will notify you and refund any charges already made for products not shipped. Pricing, availability, and promotions are subject to change without notice.

7. Pricing & Payments

Prices are shown in US dollars and are subject to change. We aim to display pricing accurately, but errors may occur. We reserve the right to correct errors and to cancel orders placed at incorrect prices. Payment is processed through a PCI-compliant hosted payment provider. By placing an order you authorize us to charge your selected payment method for the total amount shown at checkout. Applicable taxes and shipping charges are calculated and shown at checkout.

8. Shipping & Returns

Orders are shipped and returns are handled according to our Shipping & Returns policy. Shipping times are estimates and may vary. Due to the nature of our cosmetic skincare products, all sales are final and we do not accept returns or exchanges, except as required by law or for damaged or incorrect orders reported within 7 days of delivery. 9. SMS Text Messaging Terms

With your consent, INOUES may send you SMS text messages to the mobile number you provide. By providing your mobile number and checking the consent box, you agree to these SMS terms.

• Consent — you consent to receive recurring SMS text messages from us at the number you provide, including automated messages. Consent is not a condition of any purchase.
• Message Types — we may send transactional messages (such as order and shipping confirmations) and, with your consent, promotional and marketing messages about products, offers, and events.
• Message Frequency — the number of messages varies based on your orders and marketing preferences; promotional messages are typically sent no more than four (4) times per month.
• Standard Rates — message and data rates may apply. You are responsible for any message or data charges imposed by your mobile carrier.
• Opt Out — reply STOP to any message to unsubscribe from marketing SMS. Opting out will not prevent you from receiving transactional messages about your orders.
• Help — reply HELP to any message for assistance, or contact us at the details in the Contact section below.
• Carrier Requirements — we and our messaging providers comply with applicable carrier requirements, including A2P 10DLC registration and campaign verification. Your mobile carrier may apply its own messaging rules and may block or filter messages.
• Carriers Supported — SMS messaging is supported on major US wireless carriers, subject to individual carrier filtering, availability, and routing policies.
• Changes — we may modify these SMS terms at any time, and continued participation constitutes acceptance of the updated terms.

10. Accounts

If the Site allows account registration, you are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information and to update it as needed. You must be at least 18 years old to register an account.

11. Intellectual Property

All content on the Site, including text, graphics, logos, imagery, product names, and software, is owned by or licensed to INOUES and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission, except as permitted by applicable law.

12. User-Submitted Content

If you submit reviews, testimonials, or other content to the Site, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with the Site and our marketing. You represent that you own or have the necessary rights to submit that content and that it does not violate the rights of any third party or applicable law.

The Site and products are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 14. Limitation of Liability

To the fullest extent permitted by law, INOUES is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from the use of the Site or its products, whether based on warranty, contract, tort, or any other legal theory. This does not affect any rights you may have under applicable law that cannot be excluded.

15. Indemnification

You agree to indemnify and hold harmless INOUES and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any rights of another party or applicable law.

16. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to the Site or products are governed by the laws of the State of Hawaii and the United States, without regard to conflict-of-laws principles, except where mandatory consumer protection laws of your jurisdiction apply. 17. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the effective date above and, where appropriate, providing notice on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
